Terms of Service

These Terms of Service ("Terms") govern your access to and use of Stay Intelligence's AI-powered hospitality solutions ("Services") provided by Mill Pond Research ("Company," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

1. Acceptance of Terms

By accessing or using Stay Intelligence, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Services.

1.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our Services, you represent and warrant that you meet these requirements.

1.2 Business Use

These Services are intended for business use by hotels, hospitality groups, and related organizations. You represent that you are authorized to bind your organization to these Terms.

2. Services Description

Stay Intelligence provides AI-powered solutions for the hospitality industry, including but not limited to:

AI-powered guest experience optimization
Operational intelligence and analytics
Revenue management tools
Security and compliance monitoring
Integration services with existing hotel systems

2.1 Service Modifications

We reserve the right to modify or discontinue any aspect of the Services at any time, with reasonable notice to customers.

3. Account Registration & Security

3.1 Account Creation

To access certain features, you must create an account and provide accurate, complete information. You agree to update this information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3.3 Account Types

We offer different account types based on your organization size and needs. Features and limitations vary by account type.

4. Fees & Payment

4.1 Pricing

Fees are based on your selected plan and usage metrics. Current pricing is available at stay-intelligence.com/pricing or in your service agreement.

4.2 Payment Terms

Monthly or annual billing cycles
Payment due within 30 days of invoice
Late payments subject to 1.5% monthly service charge
Service suspension for non-payment after 60 days

4.3 Fee Changes

We may change fees with 60 days' notice. Changes will apply to the next billing cycle after notice.

5. Intellectual Property

5.1 Ownership

All intellectual property rights in the Services are owned by Mill Pond Research. You retain ownership of your data and content.

5.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during the subscription term.

5.3 Restrictions

You may not:

Reverse engineer or decompile the Services
Use the Services to compete with us
Remove or alter proprietary notices
Share credentials with unauthorized users

6. Data & Privacy

6.1 Data Ownership

You retain ownership of all data you provide to the Services. We process your data only as instructed by you.

6.2 Data Processing

We process data in accordance with our Privacy Policy and applicable data protection laws including GDPR and CCPA.

6.3 Data Security

We implement industry-standard security measures including encryption, access controls, and regular audits.

7. Confidentiality

Both parties agree to maintain confidentiality of all non-public information disclosed during the term of service. This obligation continues for 3 years after termination.

8. Warranties & Disclaimers

We warrant that:

Services will perform substantially as described
We have the right to provide the Services
We will use reasonable skill and care

8.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

9.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

9.2 Exclusions

WE ARE NOT LIABLE FOR:

Indirect, incidental, or consequential damages
Lost profits or revenue
Data loss or corruption
Third-party claims

10. Indemnification

You agree to indemnify and hold harmless Mill Pond Research from any claims arising from:

Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Your data or content

11. Termination

11.1 Termination by You

You may terminate your account at any time with 30 days' written notice.

11.2 Termination by Us

We may terminate or suspend your account for:

Violation of these Terms
Non-payment of fees
Illegal or harmful use
At our discretion with 30 days' notice

11.3 Effect of Termination

Upon termination:

Your access to Services ends immediately
All licenses granted terminate
We will delete your data within 30 days (unless legally required)
Outstanding fees become immediately due

12. Service Level Agreement (SLA)

12.1 Uptime Guarantee

We guarantee 99.9% monthly uptime. If we fall below this, you may be eligible for service credits.

12.2 Support Response Times

Critical issues: 1 hour
High priority: 4 hours
Medium priority: 1 business day
Low priority: 3 business days

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Massachusetts, USA, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes shall first be attempted to be resolved through good faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in Boston, Massachusetts.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be effective 30 days after notice. Continued use after changes constitutes acceptance.
